A Guide of 2009 Joint Annual Inspection for Foreign-invested Enterprises in Zhejiang

I. The joint annual inspection is conducted by seven government departments, namely, the Foreign Trade and Economic Cooperation Bureau, the Finance Bureau, State Taxation Bureau, Local Taxation Bureau, Industry and Commerce Administration, Statistics Bureau and Foreign Exchange Administration.

II. All foreign-invested enterprises, including those with investment from Taiwan, Hong Kong, Macau and overseas Chinese, hereafter called ˇ°The Enterprisesˇ±, are subject to the joint annual inspection.

III. Time and Venue for the Joint Annual Inspection
The Enterprises are requested to submit all the relevant documents for the joint annual inspection between March 1st and June 30th, 2009. The declaration and the preliminary examination of the documents are both conducted online. All enterprises are requested to take the online inspection. Once passing the preliminary inspection, enterprises should send the joint annual inspection report and other required documents to the seven government departments for further check. All the inspection departments at any level should, in principle, work together at an agreed time and venue, which will be decided and announced by the relevant departments. For the enterprises that fail to make the declaration within the specified time and those found cheating on the declaration documents or having illegal acts in operation, relevant departments will give the punishment in accordance with the relevant laws and regulations, including the cancellation of approval certificates and the revocation of business licenses for the worst offenders.

IV. Application of Digital Certificates and Electronic Signatures

The 2009 online inspection system requires digital certificates and electronic signatures. The Enterprises that use digital certificates and give electronic signatures on the joint annual inspection report can submit the electronic confirmation form of the joint annual inspection report instead of the paper form. 

V. Online Declaration System for Joint Annual Inspection
The Enterprises making the declaration to the Foreign Trade and Economic Cooperation Bureau, the Finance Bureau, State Taxation Bureau, Local Taxation Bureau, Statistics Bureau and Foreign Exchange Administration shall visit www.zjslhnj.gov.cn and make the declaration as instructed.
The Enterprises making the declaration to the Industry and Commerce Administration are requested to visit www.zjaic.gov.cn and make the declaration as instructed.

 

Appendix:
Documents to be Submitted for the Joint Annual Inspection

I. For the Foreign Trade and Economic Cooperation Bureau
i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on);
ii. the duplicate of the Approval Certificate, and a hardcopy;
iii. a photocopy of a duplicate of the Business License (with the corporate seal on);
iv. the 2008 Annual Balance Sheet and the Income Statement audited by the accounting firm (not requested for the enterprises with the audit report verified and stamped by the accounting firm in the system)
v. a photocopy of the Capital Verification Report (requested only for the enterprises with their capital contributions due in 2008), with the corporate seal on.

II. For the Finance Bureau

i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on);
ii. the duplicate of the Financial Registration Certificate;
iii. the 2008 annual accounting statements, the financial situation statement, and the relevant electronic data;
iv. the 2008 Financial Audit Report.

III. For the State Taxation Bureau
i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on);
ii. the duplicate of the Tax Registration Certificate;
iii. a photocopy of the duplicate of the Business License (with the corporate seal on);
iv. the 2008 Audit Report issued by the accounting firm,  including the Annual Balance Sheet and the Income Statement.
IV. For the Local Taxation Bureau
i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on);
ii. the duplicate of the Tax Registration Certificate;
iii. a photocopy of the duplicate of the Business License (with the corporate seal on);
iv. the 2008 Audit Report issued by the accounting firm,  including the Annual Balance Sheet and the Income Statement.

V. For the Industry and Commerce Administration
    Please refer to the online feedback on the annual inspection for the documents requested by the Industry and Commerce Administration. 

VI. For the Statistics Bureau
i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on).

VII. For the Foreign Exchange Administration
i. the Joint Annual Inspection Report (inspected online, prepared in print form, bearing the bar code and the verification code on the cover) or the Electronic Confirmation Form of the Joint Annual Inspection Report (with the corporate seal and signature on);
ii. the original copy of the Foreign Exchange Registration Certificate (in paper form) and the original copy of the IC Card of the Foreign Exchange Registration Certificate;
iii. a photocopy of the complete 2008 annual financial audit report (with the corporate seal on);
iv. a photocopy of the verification report of the 2008 Statement of Foreign Exchange Balance (with the corporate seal on);
v. a photocopy of the Capital Verification Report (requested only for the enterprises with capital contributions due in 2008), with the corporate seal on;
vi. the External Debts Registration Certificate, the form of External Debts Agreement and the form of external debt changes (requested only for the enterprises with external debts);
vii. Information Registration Form (foreign currency section) for the Joint Annual Inspection of Foreign-invested Enterprises
